Upcloud Accounting's Services may be subject to fees as described on our website or in separate agreements. You agree to pay all applicable fees in a timely manner. Payment terms will be outlined in a separate agreement or invoice.

The Services and all related materials, including but not limited to software, designs, text, graphics, and logos, are protected by intellectual property laws. You may not copy, modify, distribute, or otherwise use any of Upcloud Accounting's intellectual property without our prior written consent.

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit the use and enjoyment of the Services by others. You agree not to use the Services for any illegal or unauthorized purpose, including but not limited to:
• Uploading or transmitting any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
Interfering with or disrupting the Services or servers or networks connected to the Services.
• Attempting to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services.

The Services are provided "as is" and "as available" without warranty of any kind, either express or implied. Upcloud does not warrant that the Services will be uninterrupted or error-free.
7. Limitation of Liability:
Upcloud's liability for any claims arising out of or relating to these Terms or the Services shall be limited to the amount you paid for the Services during the twelve (12) months preceding the claim.
8. Termination:
Upcloud reserves the right to terminate your access to the Services at any time, with or without cause, and with or without notice.
9. Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the Philippines.
10. Entire Agreement:
These Terms constitute the entire agreement between you and Upcloud Accounting with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.
